1. Introduction

These Terms and Conditions (“Terms”) form a binding agreement between you (“User”, “you”, “your”) and HyperRail (“HyperRail”, “we”, “us”, “our”), the operator of the HyperRail Liquidity platform (“Platform”).

These Terms govern your access to and use of our website, app, and related liquidity products and services (“Services”). By creating an account, accessing the Platform, or using any HyperRail Service, you agree to be bound by these Terms. If you do not agree, please discontinue use immediately.

HyperRail owns and operates the Platform and provides all Services subject to this Agreement.

2. Version Control

We may update these Terms periodically. When we do, the “Last Revised” date will change. While we may notify you through email or in-app alerts, you acknowledge that this may not always be possible. Your continued use of the Platform after any revision constitutes acceptance of the updated Terms. You are responsible for reviewing these Terms regularly.

3. Definitions

For purposes of these Terms:

• Applicable Law: All laws and regulations covering digital assets, financial services, AML/CFT, and data protection in the jurisdictions where HyperRail operates.
• Business Days: Any day other than weekends or public holidays in our primary jurisdiction.
• Confidential Information: All non-public information shared between HyperRail and the User, including business, operational, financial, or technical data.
• Customer: The end user interacting with HyperRail’s platform or services.
• Digital Assets: Cryptocurrencies, stablecoins, tokens, and other blockchain-based value representations supported by HyperRail.
• KYC: Know-Your-Customer identity verification performed before granting access to fiat or crypto-asset services.
• KYB: Know-Your-Business verification for entity accounts.
• Onboarding Information: The personal or business details submitted during KYC/KYB.
• Platform: The HyperRail website, app, API, and any related tools.
• Services: Crypto exchange, wallet services, compliance tooling, on/off-ramp features, and related infrastructure provided by HyperRail.
• Wallet: Digital asset storage interface provided by HyperRail.
